Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and iQFone ("Company," "we," "our," or "us") concerning your access to and use of our telecommunications services, including our website, applications, and related services (collectively, the "Services").
By accessing or using our Services, you agree to be bound by these Terms. If you do not agree with these Terms, you may not access or use our Services.
Service Description
iQFone provides cloud-based business telecommunications services, including but not limited to:
- Toll-free and local phone numbers
- VoIP calling services
- Call forwarding and routing
- Voicemail and messaging services
- Auto-attendant and IVR systems
- Call recording (where legally permitted)
- Analytics and reporting tools
We reserve the right to modify, suspend, or discontinue any aspect of our Services at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Services.
User Accounts and Registration
To use our Services, you must create an account by providing accurate, complete, and current information. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access or security breach
- Ensuring all information provided is accurate and up-to-date
You must be at least 18 years old to create an account. By creating an account, you represent and warrant that you meet this age requirement.
We reserve the right to refuse service, terminate accounts, or remove content at our sole discretion, including for violation of these Terms.
Acceptable Use Policy
You agree to use our Services only for lawful purposes and in accordance with these Terms. You specifically agree NOT to:
- Use the Services for any illegal or fraudulent activity
- Make unsolicited calls or send spam communications
- Engage in telemarketing without proper consent and compliance
- Harass, threaten, or abuse others through our Services
- Transmit viruses, malware, or other harmful code
- Attempt to gain unauthorized access to our systems or networks
- Interfere with or disrupt the Services or servers
- Impersonate others or provide false information
- Violate any applicable local, state, national, or international law
- Resell or redistribute our Services without authorization
Payment Terms and Billing
By subscribing to our Services, you agree to pay all fees associated with your selected plan. Payment terms include:
- Subscription fees are billed in advance on a monthly or annual basis
- Usage charges (minutes, add-ons) are billed monthly in arrears
- All fees are non-refundable unless otherwise stated
- Prices are subject to change with 30 days' notice
- Failed payments may result in service suspension or termination
- You authorize us to charge your payment method for all fees
If you believe you have been billed incorrectly, you must contact us within 60 days of the charge to dispute it. Late payments may incur additional fees or interest charges.
Service Level Agreement
We strive to provide reliable service with 99.9% uptime. However, service availability may be affected by:
- Scheduled maintenance (with advance notice when possible)
- Internet connectivity issues beyond our control
- Force majeure events (natural disasters, acts of war, etc.)
- Third-party service provider disruptions
While we make reasonable efforts to ensure service quality, we do not guarantee uninterrupted or error-free service. Our liability for service outages is limited as described in the Limitation of Liability section below.
Intellectual Property Rights
The Services and all content, features, and functionality are owned by iQFone and are protected by copyright, trademark, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable license to access and use the Services for your business purposes. This license does not include:
- Any resale or commercial use beyond your own business needs
- Copying, modifying, or creating derivative works
- Reverse engineering or attempting to extract source code
- Removing or altering any proprietary notices
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IQFONE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your access to or use of (or inability to access or use) the Services
- Any conduct or content of any third party on the Services
- Unauthorized access, use, or alteration of your data
- Service interruptions or errors
Our total liability to you for all claims arising from your use of the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim, or $100, whichever is greater.
Termination and Cancellation
You may cancel your subscription at any time through your account dashboard or by contacting customer support. Cancellations take effect at the end of your current billing period.
We may suspend or terminate your access to the Services immediately, without prior notice, for:
- Violation of these Terms
- Fraudulent or illegal activity
- Non-payment of fees
- Extended inactivity
Upon termination, your right to use the Services ceases immediately. We may delete your data after termination in accordance with our data retention policies.
Governing Law and Dispute Resolution
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.
Any disputes arising from these Terms or your use of the Services shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except where prohibited by law. You waive your right to a jury trial or to participate in a class action.
If arbitration is unavailable, disputes shall be resolved in the state or federal courts located in New York County, New York, and you consent to personal jurisdiction in those courts.
Changes to These Terms
We reserve the right to modify these Terms at any time. We will notify users of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use of the Services after changes become effective constitutes acceptance of the modified Terms.
